These Terms of Service (“Terms”) govern your access to and use of the VidaFan platform, websites, applications, and related services (collectively, the “Service”) operated by VidaFan (“we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms and our Privacy Policy.

1. Eligibility

You must be able to form a binding contract in your jurisdiction and meet any minimum age we specify for the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose risk to the Service or other users.

3. Acceptable use

You agree not to:

  • Use the Service in violation of applicable law or third-party rights.
  • Attempt to gain unauthorized access to systems, data, or other users’ accounts.
  • Interfere with or disrupt the Service, including by introducing malware, excessive automated access, or harmful code.
  • Harass, abuse, defame, or discriminate against others, or post unlawful, obscene, or infringing content.
  • Scrape, crawl, or extract data from the Service except as we expressly permit or as required for normal use of a public interface.
  • Misrepresent your identity, manipulate leaderboards or results through fraud or collusion, or use multiple accounts to circumvent limits or bans.

4. Predictions, content, and license

You may submit predictions, comments, or other content (“User Content”) through the Service. You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free license to use, host, reproduce, modify, display, and distribute User Content as needed to operate, promote, and improve the Service (including showing leaderboards and results).

You represent that you have the rights to your User Content and that it does not violate these Terms. We may remove or restrict User Content that violates the Terms or that we reasonably believe is harmful or illegal.

5. Nature of the Service; not gambling advice

VidaFan is an entertainment and community engagement product focused on sports predictions, leaderboards, and fan participation. The Service does not constitute gambling, wagering, or financial, legal, or professional advice where prohibited. Features, prizes, and mechanics are offered for recreational purposes unless we clearly state otherwise in writing. You are solely responsible for compliance with laws applicable to you.

6. Intellectual property

The Service, including its software, branding, design, and content we provide (excluding your User Content), is owned by VidaFan or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you.

7. Third-party links and data

The Service may reference or display information from third parties (including sports data providers). We do not control third-party sites or services; their terms and policies apply to your use of them.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL VIDAFAN OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (OR LOCAL EQUIVALENT), IF YOU HAVE NOT PAID US. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Indemnity

You will defend and indemnify VidaFan and its affiliates against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your User Content, your use of the Service, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if we discontinue the Service. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the jurisdiction you designate for your entity (placeholder: insert governing law and venue—for example the courts of a specific state or country—after legal review), without regard to conflict-of-law rules. You and VidaFan consent to the exclusive jurisdiction of those courts for disputes arising from these Terms, subject to any mandatory consumer protections in your place of residence.

13. Changes

We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. If changes are material, we may provide additional notice. Continued use of the Service after the effective date constitutes acceptance of the revised Terms, except where prohibited by law.
